SYNOPSIS
Competition and corporate laws developed separately – but are they related? Competition law covers: anti-competitive agreements (between competitors and vertical supply arrangements) between market players (including corporations); the abuse of market power by a firm, dominant in a market; and anti-competitive mergers and acquisitions. On the other hand, corporate governance (and law) is mainly concerned with the internal relationships between officers, directors and shareholders within a corporation.
 
Competitive markets force firms to be internally efficient. To some extent, then, competition can substitute for good corporate governance. But what if there is no competition? Here, competition does not force good governance structures so corporate law may need to step in. Diversified business groups are prevalent in Southeast Asia. These legally independent firms operate in many unrelated markets with both formal (equity) and informal (family) ties. This presentation examines what kinds of problems this kind of organizational structure poses for both corporate law and competition law.
